1. Scope and Agreement
These Terms of Service ("Terms") govern your access to and use of the Konvu, Inc. ("Konvu", "we", "us", or "our") website at konvu.com, including all associated pages, content, and resources (collectively, the "Site").
These Terms apply to the Site only. Access to and use of Konvu's AI-powered vulnerability management platform (the "Service") is governed exclusively by Konvu's Master Subscription Agreement and applicable Order Forms. By accessing the Site, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Site immediately.
We may update these Terms from time to time by revising the "Last updated" date above. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.
The Site is intended for users who are at least 18 years old.
2. Intellectual Property
The Site and its content — including text, graphics, logos, trademarks, and software (collectively, the "Content") — are owned by or licensed to Konvu and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the Site and view its Content for informational purposes. You may not copy, reproduce, distribute, or create derivative works from the Content without our prior written permission.
For clarity, this Section does not govern intellectual property rights related to the Service, Customer Data, or Service Outputs, which are addressed exclusively in the Master Subscription Agreement.
3. User Conduct
By using the Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems.
- Interfere with or disrupt the Site or the networks or services connected to the Site.
- Use any automated means (bots, scrapers, or similar tools) to access or collect data from the Site without our prior written consent.
- Upload or transmit viruses, malware, or other harmful material to or through the Site.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
4. Submissions and Feedback
Any feedback, suggestions, ideas, or other information you voluntarily provide to us through the Site (such as via contact forms or email) is non-confidential and becomes our property. We may use such submissions for any lawful business purpose without obligation or compensation to you.
This Section does not apply to Customer Data or Feedback provided through the Service, which are governed by the Master Subscription Agreement.
5. Third-Party Links
The Site may contain links to third-party websites or resources. These links are provided for convenience only. We do not endorse and are not responsible for the content, products, or services on or available from those sites.
6. Site Availability
We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice. We are not liable for any modification, suspension, or discontinuance of the Site.
7. Privacy
Our collection and use of personal information in connection with the Site is described in our Privacy Policy. Processing of personal data through the Service is governed by the Data Processing Agreement incorporated into the Master Subscription Agreement.
8. Disclaimer
THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
This disclaimer applies solely to the Site. Warranties related to the Service are set forth in the Master Subscription Agreement.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KONVU AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. KONVU'S TOTAL AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
Liability related to the Service is governed exclusively by the Master Subscription Agreement.
10. Indemnification
You agree to defend, indemnify, and hold harmless Konvu, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site in violation of these Terms; or (b) your violation of any applicable law or the rights of any third party.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.
12. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13. Entire Agreement
These Terms constitute the entire agreement between you and Konvu regarding your use of the Site. They do not modify, amend, or supplement the Master Subscription Agreement, any Order Form, or the Data Processing Agreement.
